Item 5.02 Removal of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 23, 2022, Sukumar Rathnam know ServiceNow, Inc. of his resignation from the Board of Directors (the “Board”), effective as of December 1, 2022. to Mr. Rathnam The resignation is not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or practices. The Board expressed their appreciation to to Mr. Rathnam service to the Company and his invaluable contribution to the Board.

On October 25, 2022, Frederic B. Luddy announced his intention to step down from his position as Chairman of the Board. Mr. Luddy will continue to serve as a member of the Board. The Board has decided to combine the positions of Chairman and CEO in William R. McDermottand Jeffrey A. Miller will continue in his position as Lead Independent Director.
